Azzuro Resources Secures USD 2.1 Million Strategic Investment from Kerry Mining Group

Azzuro Resources PLC (ASX: AZ9) has secured a US$2.1 million (A$3.06 million) strategic investment from Kerry Resources Logistics (Hong Kong) Limited, part of the Kerry Mining group within Robert Kuok’s Hong Kong based Kerry Group. The funding will advance Azzuro’s Red Hill copper-gold VMS system and Oval copper-nickel-PGE discovery in southwest Mongolia.
Deal Terms
Kerry will subscribe for 203,875,000 CDIs at A$0.015 (approximately US$0.0105) per CDI, giving it about 19.9% of Azzuro on completion. The price is a 7% premium to the last close and a 10% premium to the 15-day VWAP, implying a post-money valuation of roughly US$10.8 million. The placement has no conditions precedent, requires no shareholder approval and is expected to complete on 19 October 2026.
Why It Matters
A premium in a discount market. ASX junior raisings are usually priced below market. A strategic investor paying above it signals real conviction in the assets. Management says the funds fully cover resource definition, metallurgical testwork and an initial commercial study at Red Hill.
Local expertise. Kerry has operated in Mongolia since the late 2000s and developed the Bayan Airag gold-copper mine, about 160 km north of Azzuro’s projects, bringing permitting and operating know-how that capital alone cannot provide.
Partnership, not takeover. The stake sits just below the 20% takeover threshold, with a two-year standstill. Kerry can nominate a director at 15% or above but will not do so for now.
Capacity largely used. The deal consumes about 99% of Azzuro’s placement capacity, so any further near-term raise would likely need shareholder approval or a pro-rata offer.
What to Watch
Beyond completion on 19 October, key milestones are resource drilling, metallurgical results and the initial commercial study at Red Hill. For foreign investors, the deal is another sign of established Asian capital backing Mongolia’s critical and base metals explorers.
